Terms of use.

By accessing and using the website at desertacacia.com (the “Site”) or the Optimize Couriermobile application (the “App”), both operated by Desert Acacia LLC (“Desert Acacia,” “we,” “us”), you accept and agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Site or the App.

Sections 3 to 8 apply specifically to the App. The remaining sections apply to both.

Permission is granted to temporarily download one copy of the materials on the Site for personal, non-commercial viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• modify or copy the materials;
• use the materials for any commercial purpose or for any public display;
• attempt to reverse engineer any software contained on the Site;
• remove any copyright or other proprietary notices from the materials; or
• transfer the materials to another person or “mirror” the materials on any other server.

This license terminates automatically if you violate any of these restrictions and may be terminated by Desert Acacia at any time.

The App is for delivery drivers. To use it you must be at least 18 years old, hold a valid driver's licence, and be legally entitled to work as a courier where you operate. You may hold one account, and it is personal to you — do not share your credentials or let anyone else deliver using your account.

Creating an account does not by itself entitle you to receive deliveries. Accounts are reviewed before they can take routes, and we or the logistics company may decline an application, or ask for further documents, at our discretion. Information you provide when applying — including your licence details and any documents you upload — must be accurate and current, and you must keep them up to date.

Desert Acacia publishes and operates the App. The delivery work itself is arranged by the logistics company whose routes you accept. Your working relationship — whether you are an employee, a contractor, how and what you are paid, and what is expected of you on a route — is between you and that company, and is governed by whatever agreement you have with them, not by these terms.

These terms govern your use of the App. They do not create an employment relationship between you and Desert Acacia.

When using the App, you agree not to:

• submit false, altered, or borrowed identity or insurance documents;
• record a delivery as complete when it was not, or falsify proof of delivery, signatures, photos, or package scans;
• interfere with location tracking while a route is active, including by spoofing your device's location;
• use the App while driving in a way that is unsafe or unlawful where you are;
• misuse recipients' personal information, or keep, copy, or share it beyond what a delivery requires;
• attempt to access accounts, routes, or data that are not yours, or probe, scan, or interfere with the service; or
• reverse engineer, decompile, or tamper with the App.

The App collects precise location in the background while you have an active route, so the logistics company can see delivery progress, and it uses your camera to capture proof of delivery and to photograph your onboarding documents. You control these permissions in your device settings, but declining them will prevent parts of the App from working and may mean you cannot be assigned routes. What is collected and how it is used is described in our Privacy Policy.

We may suspend or terminate your account if you breach these terms, if your licence or insurance lapses, if the logistics company you deliver for ends your engagement, or if we reasonably believe your account is being used fraudulently or unsafely. Where it is practical and appropriate, we will tell you why.

You can delete your account at any time in the App (Profile → Account Settings → Delete Account) or from our account deletion page.

We work to keep the App available and accurate, but we do not guarantee uninterrupted service. Features may change, and the App depends on your device, your network, and third-party services such as maps and push notifications. The App queues work you do offline and syncs it when you reconnect, but you should confirm that important updates have gone through before relying on them.

The materials on the Site are provided “as is.” Desert Acacia makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

In no event shall Desert Acacia or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on the Site, even if Desert Acacia or an authorized representative has been notified orally or in writing of the possibility of such damage.

The materials appearing on the Site could include technical, typographical, or photographic errors. Desert Acacia does not warrant that any of the materials on the Site are accurate, complete, or current. We may make changes to the materials at any time without notice, but we do not commit to updating them.

Desert Acacia has not reviewed all of the sites linked to the Site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Desert Acacia. Use of any such linked website is at the user's own risk.

Desert Acacia may revise these Terms of Use at any time without notice. By using the Site you agree to be bound by the then-current version of these terms. When we make material changes, we will update the effective date shown above.

These terms are governed by and construed in accordance with the laws of the State of Nevada, and you irrevocably submit to the exclusive jurisdiction of the courts located in Nevada, United States.
